(一)乙可否對甲主張權利瑕疵擔保？

四、甲為 A 上市公司董事長，在歷經實地查核與多次協商，某日，甲與 B 公司董事長 乙達成 A 公司併購 B 公司之共識，雙方並當場簽署備忘錄。翌日清晨，甲與多年 好友丙、丁至北部某知名高爾夫球場球敘。前九洞打完，甲基於朋友應互通有無 之情誼，而向丙、丁二人分享 A 公司將併購 B 公司，且雙方已簽署備忘錄之消息， 並囑咐丙、丁二人於重大消息公布前，不可從事內線交易之不法行為。當時與三 人互不相識之桿弟戊，竟意外聽到三人談話內容，也因此得知該重大消息。中午 球敘結束後，丙隨即拋售大量 A 公司股票；丁則大量拋售 B 公司股票；戊則買進 大量 B 公司股票。嗣後，B 公司即將被 A 公司併購之消息一經公告，A 與 B 公司 股價隨即大漲，僅戊因而獲得巨額股價價差收益。請評釋甲、丙、丁、戊四人之 行為，有無該當不法之內線交易行為？

一、甲於民國 108 年 2 月 8 日農曆過年期間，在網路上看見乙所刊登之商品及折扣價 格之廣告訊息，向乙訂購休閒躺椅、升降曬衣架及 LED 燈泡等共 10 件商品，計新 臺幣（下同）7,458 元，甲同時選擇以自動櫃員機轉帳及信用卡線上付款方式完成 付款，嗣並收到乙事先設定由電腦系統發出訂購成功之通知郵件。詎乙竟於 108 年 2 月 22 日在未經甲同意下自行刷卡退款，甲並於翌日收到乙簡訊通知，稱該等 商品因員工將折扣成數 88％誤植為 12％標價錯誤所致，故乙不接受訂單，拒絕履 行契約。試分析甲乙法律關係？又甲乙各自主張權利之時效或期間如何？
